1. Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you and Chirofinder LLC, a North Carolina limited liability company with its principal place of business at 4030 Wake Forest Rd Suite 349, Raleigh, NC 27609 ("ChiroFinder," "we," "us," or "our"), governing your access to and use of chirofinder.co, its subdomains, and related services (collectively, the "Service").
By accessing or using the Service — as a visitor, a registered user, or a practice owner claiming a listing — you agree to these Terms, our Privacy Policy, our Review & Content Guidelines, and our Medical & Editorial Disclaimer, each incorporated here by reference. If you do not agree, do not use the Service.
We may modify these Terms at any time. If we make material changes, we will update the "Last Updated" date and, where required by law or where the change materially affects your rights, provide additional notice (e.g., a site banner or email to registered users). Continued use of the Service after changes take effect constitutes acceptance. If you are a subscriber under Section 6, material adverse changes will not apply retroactively to your then-current billing period.
2. Eligibility and Accounts
2.1 Eligibility. You must be at least 18 years old to create an account or submit a review. The Service is not directed to, and we do not knowingly collect personal information from, anyone under 13 (see Privacy Policy §8).
2.2 Account Roles. The Service supports three account types: Visitor (browsing/reviewing, account optional), Practice Owner (a person authorized to represent a listed chiropractic practice), and Administrator (ChiroFinder staff). You may hold only one active account per role per person, and account credentials may not be shared, sold, or transferred.
2.3 Accuracy. You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your account and must notify us promptly at support@chirofinder.co of any unauthorized use.
2.4 Suspension. We may suspend or terminate any account that violates these Terms, provides false information, or is used in a manner that creates legal liability or risk to ChiroFinder or other users.
3. What ChiroFinder Is — and Is Not
ChiroFinder operates an online directory that compiles, organizes, and displays information about chiropractic practices to help consumers find and compare providers. ChiroFinder does not provide chiropractic care, does not employ, supervise, credential, or endorse any listed practice or practitioner, and is not a party to any relationship between you and a practice you find through the Service. See our Medical & Editorial Disclaimer for the full statement on this point, which is incorporated into these Terms.
4. Practice Listings and the Claim Process
4.1 Unclaimed Listings. ChiroFinder may compile and publish basic listing information about chiropractic practices (name, address, phone, publicly available hours, specialties, and similar business information) from public sources, without requiring the practice's participation, consistent with applicable law. A practice's inclusion is not an endorsement by, or agreement with, that practice.
4.2 Claiming a Listing. A person who represents that they are an owner, operator, or authorized agent of a listed practice may "claim" that listing by completing our verification process (which may include phone, email, or document verification). By submitting a claim, you represent and warrant that:
(a) you are authorized to act on behalf of the practice;
(b) all information you submit or update is accurate and current; and
(c) you will promptly update the listing if the information changes (e.g., new address, closure, change of ownership).
4.3 Effect of Claiming. Once verified, a Practice Owner may edit designated listing fields, upload photos, respond to reviews (see Review & Content Guidelines §5), and subscribe to paid features under Section 6. ChiroFinder may independently verify, edit, suspend, or revoke claimed status at any time, including where information appears inaccurate, the practice appears closed, or where these Terms are violated.
4.4 No Guarantee of Placement. Except for paid placement expressly purchased under Section 6, ChiroFinder does not guarantee any particular ranking, visibility, or inclusion of any listing, and organic search-result and directory ranking is never for sale.
4.5 Removal Requests. A practice (claimed or unclaimed) may request removal of its listing by contacting support@chirofinder.co. We will honor legitimate removal requests within a reasonable time, subject to our right to retain factual business information as permitted by law and our legitimate business need to reflect accurate, non-defamatory historical review data.
5. User Content
5.1 Definition. "User Content" means any review, rating, photo, comment, response, or other material any user (including a Practice Owner) submits to the Service.
5.2 License Grant. By submitting User Content, you grant ChiroFinder a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt (e.g., for formatting or excerpting), publicly display, publicly perform, and distribute that User Content in connection with operating, promoting, and improving the Service and its distribution to others (including in search-engine results, structured data/schema markup, and social sharing). This license survives deletion of your account with respect to content already distributed, but we will stop actively displaying deleted content on the Service going forward except as needed for legal, safety, or dispute-resolution purposes.
5.3 Your Responsibility. You are solely responsible for your User Content. You represent that you have all rights necessary to grant the license above and that your content does not violate any law, any third party's rights, or our Review & Content Guidelines.
5.4 Our Rights, Not Our Obligation. We may, but have no obligation to, monitor, screen, edit, or remove User Content. We may remove or decline to publish any content that we believe violates these Terms, our guidelines, or applicable law, or for any other reason at our reasonable discretion, without liability to you.
5.5 Google-Sourced Content. Some ratings and reviews displayed on the Service (identified as such) are imported from Google's Places API rather than submitted directly by users. That content is displayed under license from Google and subject to Google's own terms; see Review & Content Guidelines §7 for the attribution and disclosure requirements that apply to it. ChiroFinder does not independently verify Google-sourced reviews.
6. Subscriptions, Billing, and Advertising
6.1 Paid Plans. ChiroFinder offers optional paid plans to Practice Owners (e.g., priority placement, enhanced profile features, analytics access) as described on our pricing page (the "Plans"). Plan features and pricing may change prospectively with notice.
6.2 Billing. Paid Plans are billed in advance on a recurring (monthly or annual) basis through our payment processor, Stripe, Inc. By subscribing, you authorize us (via Stripe) to charge your payment method on each renewal date until you cancel. You are responsible for keeping payment information current.
6.3 Auto-Renewal and Cancellation. Plans automatically renew at the end of each billing period unless cancelled before the renewal date through your account dashboard or by written notice to billing@chirofinder.co. Cancellation takes effect at the end of the then-current billing period; we do not provide prorated refunds for early cancellation except where required by law or expressly stated at time of purchase.
6.4 Failed Payments. If a payment fails, we may retry the charge, suspend premium features, and/or revert the listing to standard (unpaid) tier after 7 days' notice, without terminating the underlying account or listing.
6.5 Sponsored Placement and Advertising Disclosure. Where ChiroFinder offers sponsored or boosted placement (paid ranking above organic results, or a labeled advertisement on a competitor's listing page), each such placement will be clearly and conspicuously labeled as "Sponsored," "Ad," or similar, consistent with FTC guidance on advertising disclosures. Purchasing a sponsored placement does not affect a practice's organic rating, review content, or unpaid search ranking.
6.6 Taxes. Fees are exclusive of applicable sales, use, or similar taxes, which you are responsible for to the extent we are required to collect them.
7. Acceptable Use
You agree not to, and not to permit any third party to:
(a) scrape, crawl, harvest, or use automated means to extract data (listings, reviews, pricing, or contact information) from the Service, except for standard search-engine indexing (e.g., Googlebot) that respects our robots.txt;
(b) create fake accounts, submit fake or incentivized reviews, or otherwise manipulate ratings or rankings;
(c) use contact information obtained from the Service to send unsolicited bulk commercial communications ("spam") to practices, reviewers, or other users;
(d) impersonate any person or entity, or misrepresent your affiliation with a practice;
(e) reverse-engineer, decompile, or attempt to derive the source code of the Service, or probe, scan, or test its vulnerability except through a responsible-disclosure channel we authorize;
(f) interfere with or disrupt the Service's infrastructure, including through excessive automated requests; or
(g) use the Service for any unlawful purpose, or to harass, defame, or threaten any person.
We may investigate and take appropriate action against anyone who violates this Section, including removing content, suspending or terminating accounts, and pursuing legal remedies.
8. Third-Party Content and Links
The Service may display or link to third-party websites, practice websites, social media, maps, and Google-sourced content. ChiroFinder does not control and is not responsible for the content, accuracy, or practices of any third party, and inclusion of a link or third-party content is not an endorsement.
9. Intellectual Property
Except for User Content, all content on the Service — including our compiled directory data, design, logos, text, and software — is owned by ChiroFinder or its licensors and protected by intellectual property laws. You may not copy, reproduce, or create derivative works from the Service except as permitted by these Terms or with our prior written consent.
10. Feedback
If you send us suggestions or feedback about the Service, you grant us an unrestricted, royalty-free, perpetual license to use it without any obligation to you.
11. Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING, RATING, OR REVIEW IS ACCURATE, COMPLETE, OR CURRENT. See our Medical & Editorial Disclaimer for additional, specific disclaimers regarding healthcare-related content.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIROFINDER AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY PRACTICE YOU FOUND THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless ChiroFinder from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising from: (a) your User Content; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d), for Practice Owners, any inaccuracy in your claimed listing information or any dispute between you and a patient or reviewer.
14. Governing Law; Dispute Resolution
14.1 Governing Law. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles, and without regard to the United Nations Convention on Contracts for the International Sale of Goods.
14.2 Informal Resolution First. Before filing a claim, you agree to contact us at legal@chirofinder.co and attempt in good faith to resolve the dispute informally for at least 30 days.
14.3 Venue. If informal resolution fails, you and ChiroFinder agree that any dispute not subject to arbitration under §14.4 will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to personal jurisdiction there.
14.4 Arbitration Agreement. Except for claims that qualify for small-claims court or claims for injunctive relief to protect intellectual property or prevent unauthorized use of the Service, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, on an individual basis only. YOU AND CHIROFINDER EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. You may opt out of this arbitration agreement by sending written notice to legal@chirofinder.co within 30 days of first accepting these Terms.
15. Termination
Either party may terminate this agreement at any time; for Practice Owners, termination does not entitle you to a refund of prepaid fees except as stated in Section 6. Sections 5.2 (license to already-distributed content), 9 through 13, and 14 survive termination.
16. General
16.1 Entire Agreement. These Terms, together with the documents incorporated by reference, are the entire agreement between you and ChiroFinder regarding the Service.
16.2 Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
16.3 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
16.4 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
